Case Study 01 — Residential

Challenge

A purchaser in Petaling Jaya was completing a sub-sale purchase of a leasehold apartment. The title revealed a charge in favour of a financial institution that had not been mentioned in the SPA. There was also a discrepancy in the lot area between the title and the agreement.

Solution

We wrote to the vendor's solicitors requesting proof of settlement of the earlier charge and correction of the lot area discrepancy before proceeding. The charge was settled and the title corrected before execution of the MOT.

Result

The purchaser completed the transaction with a clean title and no encumbrances. The matter took four months from opening to registration.

Case Study 02 — Commercial

Challenge

A retail operator was taking a second tenancy in a shopping mall in the Klang Valley. The landlord's standard lease contained a turnover rent clause that would have required disclosure of detailed sales data and triggered significant additional rent above a threshold that was lower than the operator's comparable locations suggested was achievable.

Solution

We negotiated the removal of the turnover rent clause and replacement with a fixed rent with a capped CPI-linked review at the end of the third year. We also secured a two-month rent-free fitting-out period.

Result

The operator entered the premises on more predictable financial terms. The rent review mechanism and fitting-out period were in line with what the client had requested at the outset.

Case Study 03 — Dispute

Challenge

A client had received a notice that a private caveat had been lodged against her property by a former business partner who claimed an equitable interest arising from an alleged verbal agreement to purchase the property jointly. There was no documentation supporting the claim.

Solution

We reviewed the chain of title and advised the client that the caveator's position was weak. We wrote to the caveator's solicitors with a formal demand for removal, setting out the basis on which the claim would be contested at the High Court. The caveator removed the caveat voluntarily within three weeks of receiving the letter.

Result

The matter was resolved without court proceedings. The client's transaction — which had been held up by the caveat — was able to proceed and completed two months later.
